These Terms of Service (“Terms”) govern your access to and use of the Stayforge platform, including our software, APIs, IoT hardware, and related services (“the Services”).
By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Services.
1. Eligibility and Account Registration
1.1 Eligibility
You must have the legal authority to enter into a binding agreement.
If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
1.2 Account Registration
You are responsible for maintaining the confidentiality of your login credentials, API keys, and device access tokens.
You must promptly notify us of any unauthorized access or security breach.
1.3 Google OAuth Sign-In
If you sign in using Google OAuth, you authorize us to obtain basic profile information (email, display name, Google account identifier) solely for authentication and account identification.
We do not access or store any additional Google user data.
2. Use of the Services
2.1 Acceptable Use
You agree not to:
- Interfere with or disrupt the Services
- Attempt unauthorized access to systems or data
- Circumvent rate limits, billing mechanisms, or access controls
- Reverse engineer, decompile, or replicate any part of the platform
- Use the Services for unlawful, fraudulent, or abusive purposes
Violation of these rules may result in suspension or termination.
2.2 IoT Devices
Some Services integrate with Stayforge IoT hardware (including access control units and authentication modules).
You agree to:
- Install and operate devices in compliance with applicable laws
- Maintain physical security of deployed equipment
- Keep device firmware up to date
- Avoid tampering, modification, or unauthorized repair
Damage or misuse of devices is your responsibility.
2.3 API Usage and Rate Limits
API access is provided according to your subscription plan.
We may enforce:
- Request rate limits
- Concurrent connection limits
- Monthly usage caps
- Device-capacity restrictions
Excessive or abusive usage may result in throttling or suspension.
3. Subscription Plans, Fees, and Billing
3.1 Subscription Plans
Your use of the Services is subject to the plan you purchase (Free, Standard, Pro, Enterprise, or custom).
Plan features, limits, and pricing are described on the Stayforge website.
3.2 Usage-Based Billing
Certain features (such as device usage or API calls) may incur usage-based fees.
These charges are calculated monthly.
3.3 Payment Processor
Payments are processed securely through Stripe.
We do not store full credit card numbers.
3.4 Taxes
You are responsible for any applicable taxes, duties, or fees imposed by governmental authorities.
3.5 Non-Payment
Failure to pay fees may result in suspension, restricted functionality, or termination of your account.
4. Intellectual Property
All rights, title, and interest in and to the Services—including software, documentation, designs, and trademarks—remain the exclusive property of Stayforge and its licensors.
You may not:
- Copy, distribute, or repurpose the Services
- Host a competing service based on our intellectual property
- Misrepresent your affiliation with Stayforge
Nothing in these Terms transfers ownership of our IP.
5. Privacy and Data Use
Your use of the Services is also governed by our Privacy Policy, available at:
By using the Services, you consent to our collection and use of data as described therein.
Google User Data
If you authenticate using Google OAuth:
- We access only basic profile information necessary for login
- We do not use Google user data for advertising
- We comply with the Google API Services User Data Policy (including Limited Use)
6. Service Modifications and Availability
We may modify, update, or discontinue parts of the Services at any time.
We strive for high availability, but do not guarantee uninterrupted service.
We are not liable for downtime resulting from:
- Cloud provider outages
- Third-party service failures
- Maintenance windows or updates
- Network disruptions outside our control
7. Termination
7.1 By You
You may terminate your account at any time by contacting [email protected].
7.2 By Us
We may suspend or terminate access if:
- You violate these Terms
- Fraudulent or abusive activity is detected
- You fail to pay applicable fees
- Required by law or regulatory request
7.3 Effect of Termination
Upon termination:
- Your access to the Services will cease
- Certain data may be deleted or retained as required by law
- Outstanding fees remain payable
8. Disclaimers
The Services are provided “as is” without warranties of any kind, whether express or implied.
We do not warrant that:
- the Services will be error-free or uninterrupted
- data will not be lost
- the Services will meet your specific requirements
9. Limitation of Liability
To the fullest extent permitted by law, Stayforge is not liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or data
- Business interruption
- Damages caused by misuse of IoT devices
- Downtime caused by external providers (Cloudflare, GCP, etc.)
Our total liability is limited to the amount you have paid to us in the preceding 12 months.
10. Governing Law
These Terms are governed by the laws of Japan, without regard to conflict-of-law principles.
11. Changes to These Terms
We may update these Terms from time to time.
Revised Terms will be posted with an updated effective date.
Your continued use of the Services constitutes acceptance of the updated Terms.
