These Terms of Service (“Terms”) are a legal agreement between you (“User,” “you,” or “your”) and Stayforge (“Company,” “we,” “us,” or “our”) governing your access to and use of the Stayforge website, mobile applications, API, IoT hardware, and related cloud services (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, INCLUDING A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER (SECTION 13).
IMPORTANT NOTICE: SCOPE OF APPLICATION If you are a resident of Japan, or if you are a business entity (corporation or sole proprietor) located in Japan, these Terms of Service DO NOT apply to you. In such cases, your use of the Services is governed exclusively by our Japanese Terms of Service. Please refer to the Japanese version available at (利用規約).
1. ACCEPTANCE OF TERMS
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.
2. ELIGIBILITY
You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you have the full right and authority to enter into this agreement.
3. ACCOUNT REGISTRATION AND SECURITY
- Accuracy: You agree to provide accurate and complete information when registering an account.
- Security: You are responsible for maintaining the confidentiality of your login credentials. You are solely responsible for all activities that occur under your account.
- Unauthorized Use: You must notify us immediately at [email protected] if you suspect any unauthorized access or security breach.
4. SERVICE LICENSE AND RESTRICTIONS
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for personal, non-commercial purposes. You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the Services.
- Use the Services for any illegal or unauthorized purpose.
- Interfere with or disrupt the integrity or performance of the Services.
- Resell, sublicense, or distribute the Services to any third party.
5. HARDWARE AND IOT DEVICES
- Installation: You are solely responsible for the proper installation and maintenance of any Stayforge hardware (“Devices”). We are not liable for any damage or injury resulting from improper installation or environmental conditions (e.g., power failure, network instability).
- Critical Use: The Services are NOT intended for use in mission-critical applications where failure could lead to death, personal injury, or severe environmental damage.
6. USER DATA AND PRIVACY
- Your Content: You retain ownership of any data you upload or generate (“User Data”).
- Our License: You grant us a worldwide, royalty-free license to use, host, and process your User Data solely to provide, improve, and secure the Services.
- Privacy: Our collection and use of personal information are governed by our Privacy Policy.
7. FEES AND PAYMENTS
- Billing: Certain features may require a subscription or one-time payment. You agree to provide a valid payment method.
- Refunds: Except as required by law or specified in our Refund Policy, all fees are non-refundable.
- Changes: We reserve the right to change our prices. We will provide reasonable notice of any price changes.
8. INTELLECTUAL PROPERTY
All rights, title, and interest in and to the Services (including software, logos, and trademarks) are and will remain the exclusive property of Stayforge and its licensors.
9. TERM AND TERMINATION
We may suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.
10. DISCLAIMER OF WARRANTIES
THE SERVICES AND ALL HARDWARE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. STAYFORGE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STAYFORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. INDEMNIFICATION
You agree to indemnify and hold harmless Stayforge and its officers, directors, and employees from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these Terms.
13. GOVERNING LAW AND DISPUTE RESOLUTION
- Governing Law: These Terms shall be governed by the laws of the State of Delaware (or specify other state, e.g., California), without regard to its conflict of laws principles.
- Arbitration: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).
- Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14. CHANGES TO TERMS
We may modify these Terms from time to time. We will notify you of material changes by posting a notice on our website or through the app. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
